Membership Agreement as of 10/17/2016

CONSTITUTION

Empress.One (herein referred to as “The Club”) is constituted to encourage the personal and professional advancement of the Members. We encourage members to use the club as a meeting space, lounge space, and destination for business networking, classes and programming, as well as non-political, social and recreational activities.

THE CLUB

The Club is a proprietary private membership club and the Proprietor is Empress Capital, 1204 Broadway, 2nd floor NY NY 10001 (Proprietor). The Proprietor reserves the right to charge members a joining fee, an annual subscription fee, a renewal fee, and an admission fee to select events from time to time. The right to amend or waive any such fees or subscriptions shall be in the Proprietor’s sole discretion. No reason will be given for refusal of an application at any stage. Member acknowledges that this is not their everyday work space and tables are subject to first come first serve. The Club staff have the right to reduce access on a case by case basis in order to accommodate all members.

 HOURS

There will be staff on site from 9am to 6pm Monday to Friday and during events. Members will have access before or after these hours only by way of a secure access card from 7am to 10pm. 

Receipt of a secure access card will be subject to additional background information, an interview, deposit and committee approval. We reserve the right to deny secure access privileges or restrict the hours of access on the cards to Members on a case by case basis, at our sole and absolute discretion.

MEMBERSHIP PAYMENT

Upon approval or renewal of your membership, your membership fees become payable immediately. By providing us with your card details, you accept and consent to your card being charged with membership fees upon your application being approved or renewed.

Membership is for a minimum of one year and renewable thereafter on an annual basis. If you have selected monthly or semi-annual payment and choose to resign your membership or your membership is cancelled part way through the year, you will still need to pay for the remainder of the year.

Failure to pay the annual subscription (or any installment) within two weeks of the due date after being notified by management will result in the member not being admitted to the Club and the membership being terminated.

MEMBERSHIP RENEWAL

Membership renewals are automatic; however, we reserve the right to deny renewal subject to annual reviews by our Renewal Committee. Membership to the club is intended for persons in professions and services related to the business, entrepreneurship and innovation and requires adherence to accepted standards of conduct and the rules of the club. The decision of the Renewal Committee is final and without appeal.

MEMBERSHIP CARDS

All Membership Cards must be handed to the Reception to gain entry. Any member who allows her card to be used by a non-member shall be expelled from the Club.

MEMBERSHIP DATABASE

It is important for us to have your current details, plus a photograph, in our membership database. If your contact or payment details change please update them on the Membership portal or email: memberships@empress.one.

CANCELLING YOUR MEMBERSHIP APPLICATION

By submitting your application for membership, you agreed to be bound by these rules. You are free to withdraw your application. Should you wish to do so, please contact our membership team at memberships@empress.one to submit your cancellation notice. Memberships are based on annual commitments so cancellations are effective on the anniversary of your start date and we must receive at least 30 days notice prior to the anniversary.

GUESTS

Members are permitted up to three guests. A member’s guests may not enter the club without that member present. Members may not be separated from their guests within the Club or allow their guests to remain in the Club when they leave. Members are responsible for ensuring their guests follow all club rules and policies, and can face suspension or termination of membership if their guests violate those rules. If the Member wishes to conduct a meeting then a conference room bust be booked in advance. Instructions below. All Guests must be registered with staff in advance of arrival, including any guest that enters the premises after staff hours. Non registered Guests brought into the facility are a violation of the Rules and grounds for immediate Membership termination.

Guests must pay the required fees for Event admissions as listed on www.empress.one/events regardless of whether or not such events are complimentary for the Member.

MEETINGS AND CONFERENCE ROOMS

If the Member wishes to conduct a meeting with three or more guests then the Member is asked to book a conference room on the 3rd and 4th floors through the District CoWork online portal here: https://districtcowork.spaces.nexudus.com/en/bookings

MEMBER EVENTS

Member events require RSVP by members since spaces are limited. Select events may require additional fees. We will try our best to ensure all members have access to attend at least two events of their choice each month. Please refer to the online calendar to reserve your spot in advance for Member events: www.empress.one/events

PRIVATE HIRE

We may at times close the Club to members for private events. Please refer to the online calendar to ensure the space is not being occupied for a private event: www.empress.one/events  Private events are not open to members and will be designated as such. Members will receive privileged rates for booking private events.

Please honour and respect the privacy of all private events occurring in the Club and refrain from communicating any information about the event to third parties. If the Member wishes to book a Private Event, please submit your inquiry here: www.empress.one/privateevent

Member understands and accepts that in the event that part or all of the Club is reserved for a private event by Empress.One, Empress.One members and/or other persons and organizations formally approved by Empress.One then the staff may close off the venue to non-participating persons/entities. The Member also understands and accepts that bookings/events may run simultaneously in adjacent rooms or sections of the Club and that access to such rooms or spaces may be denied to non-participating persons/entities.

PROPOSING NEW MEMBERS

Members are welcome to propose new applicants to join the club. Application forms are available at at Empress.One. The Membership Committees meets monthly and admits new members when space is available.

CHILDREN

The Club is designed for professionals, but they are child-friendly. Please be considerate of other members when you bring children, who are part of your guest allowance.

FOOD OR LIQUOR

If food or alcohol is being served or consumed by Member, Member agrees to fully comply with the New York State Alcoholic Beverage Control Law, the New York State Penal Law and/or any provision enumerated in Section 7-703 within Title 7 of the New York City Administrative Code. Member understands and acknowledges that the subject premises is subject to inspections by the New York City Police Department. Member agrees to provide a copy of the necessary license from the New York State Liquor Authority and to keep any liquor license obtained for the subject premises on site and to produce said document to members of the New York City Police Department upon request.   Member hereby agrees to indemnify, defend, and hold the Proprieter and other party harmless from any loss, liability, costs or damages arising from actual or threatened claims or causes of action arising from such party’s breach of any of such party’s representations and/or warranties hereunder. The Member is responsible for all payments of costs and dues arising from the arrangement and securing all necessary permits.

CORPORATE ATTIRE

The Club fosters a professional chic atmosphere. To preserve this environment, members should refrain from wearing gym cloths on weekdays. Members are also responsible for ensuring their guests abide by this rule.

PRIVACY FOR MEMBERS/GUESTS

We value networking and developing relationships so if you are interested in meeting someone in the club please message them through the member portal to set up a time. Members and their guests must not approach, disturb or solicit others with whom they are not personally acquainted. Doing so may lead to suspension or termination of membership. We encourage a friendly atmosphere but members are asked to respect one another’s space and time.

MOBILE PHONES

To protect the considerate atmosphere within the Club, members may take and make phone calls while in the club; however, the voice must be kept to a low volume and members are encouraged to go to a phone booth on the 3rd floor for lengthy conversations. Texting is permitted and calls may be made in designated areas. Please ensure that your guests adhere to our phone policy.

CAMERAS/RECORDING DEVICES

No cameras, video or recording devices may be used while in the House, unless written permission is granted in advance by Club staff. Members are responsible for ensuring their guests also abide by this rule. The House reserves the right to take possession of and confiscate any camera, video or recording device and any photos, videos or other recorded images used or taken while on House premises.

AUDIO/VIDEO SOUND

Movies, videos, songs, internet calls and presentations must only be played through headphones and should not be audible to any other member or guest present.

PRESS/SOCIAL MEDIA

The Club encourages press coverage and promotion of your brand and business; however, Members will be held accountable if they or their guests disclose or identify any other members or guests who are in the Club without their written consent in any press or social media including Facebook, Twitter and on personal blogs. Similarly, members and their guests must refrain from identifying or describing any private hire or member event occurring on premises, unless written approval is given in advance by Club staff.

CONFIDENTIALITY

Empress.One management and all staff members adhere to the strictest confidentiality standards and pledge to maintain all records and personal information concerning the members and their guests in the strictest confidence.

ILLEGAL SUBSTANCES

No member or guest of a member shall use, ingest, possess or distribute illegal drugs while on Club premises. If any of the uses above prove true, the membership in question will be terminated.

BILLS

All bills must be settled in full before leaving the Club. There are no credit facilities. Members are responsible for their guests’ bills if they are not paid.

FOOD & BEVERAGES

We allow members to bring in any outside food or beverages until the Club refreshment set-up is complete. We will initiate the sale of food and beverage through our partners in Q4 2016.

LEAVING THE CLUB

All members and their guests are asked to respect our nearby residents by being quiet when leaving the Club premises or while in the surrounding area.

ANIMALS

No animals will be allowed in the Club except for assistance dogs.

DISCIPLINARY PROCEDURE

Conduct that is prejudicial to the reputation and character of Empress.One may result in suspension or expulsion. Such conduct may include violent or abusive behaviour, the communication of information concerning the club affairs or members or their guests in the club to the media. An expelled member may not return to the club as a guest. A refund of the expelled member’s subscription will be at the discretion of Empress.One. Any member or members who willfully remove, damage or destroy any property belonging to the Club or to members or to guests on the premises will be liable to expulsion. Every member binds herself to abide by the rules, bylaws and regulations of Empress.One upon acceptance as a member. If Empress.One considers that any member’s (or her guests’) conduct either inside or outside of the Club premises is, at its absolute discretion, contrary to the interests of the Club or it’s affiliates and subsidiaries, the Empress.One may expel the member from the Club premises and/or suspend or terminate that member’s membership.

RESIGNATION

Any member wishing to resign his/her membership may do so. Refunds will be at the discretion of the management.

RIGHTS AND PRIVILEGES OF MEMBERSHIP

A member shall be entitled to all the rights and privileges of the Club and shall be bound by these rules but shall have no proprietary rights in any of the premises or in respect of property of the Club.

The Member agrees (i) to safeguard the Club property and be responsible for replacing it in the event of loss, theft or damage; (ii) the Club may be regularly recorded using video cameras for security reasons and/or for marketing purposes; (iii) the Club may disclose information about the Host(s) and their guests as necessary to satisfy any applicable law, regulation, legal process or governmental request; and (iv) the Club may amend, add or delete rules and regulations, fees and services.

The Member agrees that it shall not: (i) perform any activity that is reasonably likely to be disruptive or dangerous to the Club, Members, and all guests, (ii) use the Club to conduct any illegal activities or activities that are generally regarded as offensive; (iii) attach or affix any items to the walls, install antennas, telecommunications lines or devices or bring additional furniture into the Club without the prior written approval of the Proprietor; (iv) take or copy information belonging to other Members or their guests; (v) use the Club to conduct retail or medical activities or otherwise involving frequent visits by members of the public; (vi) make copies of any keys or other means of entry to the Club or lend any keys or access cards to any third party; (vii) allow any guests to enter the Facility without registering such guests; (viii) bring any weapons into the Club or upload/download any viruses to the network or (ix) use the name “Empress” or use pictures or illustrations of the Club in any advertising, publicity or other purpose, without our prior written consent.  

SMOKING POLICY

All members and their guests are obligated to abide by the Club’s smoking policy then in effect and to all applicable no-smoking governmental laws, rules and regulations. No smoking is allowed inside the Club at any time. The Proprietor reserves the right to prohibit or limit smoking in any area of the Club premises at any time at its sole and absolute discretion. The Proprietor reserves the right to designate certain designated outside areas of the House premises as smoking areas and to change the location of such designated areas at any time. Notwithstanding, all members and their guest are requested to respect the wishes of other members and their guests with respect to smoking and to refrain from smoking when requested to do so by another member.

EMPRESS.ONE TRADE MARK RIGHTS

All members and their guests shall not use the names, logos, colours, trade marks, service marks, photographs, trade dress, or other identifying features of Empress.One (the “Empress.One Marks”) without obtaining the specific prior written approval of The Proprietor as to the specific use.

You hereby expressly recognise that the Empress.One Marks and all Empress branding of its affiliates or successors are the valid, unique and exclusive property of Empress.One, its parent, affiliates and/or subsidiaries. Members and their guests may not produce or create, or authorise others to produce or create, the Empress Marks for any purpose whatsoever, including, but not limited to, in any communications, marketing, advertising or other promotional materials (including, but not limited to, brochures, flyers, invitations, e-mail messages, etc.) that utilize the Empress Marks without the Proprietor’s prior written consent.

LIABILITY OF THE PROPRIETOR

The Proprietor, its servants, and/or agents shall not be liable to any member or guest of a member for any loss damage or injury suffered by them or their property how so ever caused, save in respect of death or personal injury to a member or guest caused by the negligence of the Proprietor, its servants and/or agents. This is not intended to affect any mandatory rights you have under local law that we cannot legally restrict or exclude.

The Member acknowledges that notwithstanding these rules, the Club does not control and is not responsible for the actions of members, guests or invitees.  If a dispute arises between members or either their or your guests or invitees, the Club shall have no responsibility to participate, mediate or indemnify any party. The Member acknowledges that it is responsible to maintain, at its own expense, personal property insurance and commercial general liability insurance covering itself and its employees, agents and invitees for property loss and damage, personal injury and/or loss of use (or prevention of access to) the Club in amounts sufficient to protect the Proprietor’s businesses.

INTERPRETATION OF THE RULES

In the event of any dispute arising as to the meaning or interpretation of these rules, the matter shall be referred to the Committee, whose decision shall be final. As a paying Member you agree that these rules constitute the terms of the Agreement between you and the Proprietor.

This Agreement shall be governed by the laws of the State of New York, without effect to any principles of conflicts of laws.  Any action or proceeding relating to this Agreement shall be litigated in courts located in New York, New York.  The Member irrevocably agrees to waive any right to a trial by jury in any such action or proceeding.

You represent and warrant that you are 21 years of age or older and all facts and information set forth above and/or in the Membership Application dated this date on the online form at www.empress.one/apply (the “Application”) are true, correct and complete. The Application is incorporated by reference and made a part of this Agreement.

AMENDMENTS TO THE RULES OF THE CLUB

The Proprietor may change the rules of the club by displaying notification of the change on the club’s premises for a period of 7 days. A copy of these rules will be made available to all members upon reasonable notice.
